Definition
By purchasing from Team Helix (“Team Helix”, “Fossyl”, “Fossyl Studios”), issuing a payment, paying an invoice or otherwise transacting funds to Team Helix (“Payment”, “Payments”), you (“Customer”, “Client”) automatically agree to the following Terms and Conditions (“T&C”, “T&Cs”, “Terms and Conditions”) and our provided service is subject to your compliance with the terms of this agreement.
Team Helix runs a freelance team and thus products (“Product”, “Products”) are completed by freelancers (“Freelancer”, “Freelancers”). These Products are vigorously quality checked by Team Helix Management.
Extensible Deadline Condition
The “Extensible Deadline Condition” is the automatically-agreed-to Condition that any deadlines agreed to thereof have a +5 day range where the Freelancer can exceed the agreed deadline without repercussion and refund to the Client. If the Freelancer exceeds the Extensible Deadline Condition without prior agreement in writing between the Freelancer and Client, the Client may be eligible to a refund as stated in subsections of II.
Void Deadline Condition
The “Void Deadline Condition” is the automatically-agreed-to Condition that any deadline agreed to thereof may be void if delays in Product completion have occurred due to third-party reasons and is not directly the cause of Team Helix. This may include, but is not limited to, waiting for updates on thirdparty software, waiting on the Client for updates, and delays not caused by Team Helix therein. The agreed deadline may also be void if the Product requested has changed since the start of progress on the Product. The Void Deadline Condition will become effective if the deadline of the Product is exceeded due to reasons listed in the latter of this Condition.
Communication
The “Product Ticket” refers to the Discord channel in which communication between the director and the Customer is conducted. Additional communication through email is possible, if requested by the Client.
Further Terms and Conditions
The following Terms and Conditions, when in reference to The Product, only apply when a Freelancer is completing a custom product for the Client. If the Client has purchased an item from our store, the Client is subject to the Terms and Conditions of the item in question. The Client should still treat all transactions to Team Helix as non-refundable.
The “Director” of Team Helix refers to the leader of Team Helix. This is currently Sanders (Discord: Sanders#0015). This document shall be updated if the Director changes.
The Terms and Conditions are as follows:
I. Payments to Team Helix are for the Products in question listed on the invoice (“Invoice”).
II. Payments to Team Helix should be treated as non-refundable unless under the specific circumstances listed in the subsections below and upon the agreement of the Director:
A. If the Product has an agreed deadline, and this deadline is exceeded past the Extensible Deadline Condition, – and the Product has not met the Void Deadline Condition – the Client may be eligible to a refund of 4% per day exceeded past the Extensible Deadline Condition of the agreed price of the Product up to a maximum of 40% refunded.
B. If the Product is unsatisfactory in the opinion of the Client, the Client may be eligible to a refund up to a maximum of 15% of the agreed price of the Product. The percentage refunded, if a refund is given, is subject to the Director’s discretion.
C. If the Product is substandard, and does not accurately reflect the original requirements of the Product, the Client may be eligible for a refund up to a maximum of 35% of the agreed price of the Product. The exact percentage will be subject to the Director’s discretion.
D. If the Product is more than or equal to 90% incomplete upon exceeding the Extensible Deadline Condition, the Client will be eligible for a refund of the amount received for the Product by Helix not including Transactional fees.
E. Upon cancellation by Team Helix, the Client will be eligible for a full refund not including transactional fees.
III. By purchasing through Team Helix, the Customer agrees that Team Helix may hold The
Customer’s money in Helix’s account until the Product is completed. Upon this instance, the
Freelancer of the Product may be paid.
IV. The Customer agrees to not claim or copy any of Team Helix’ work, including, but not limited to, premade resources, processes, products, or property owned by Team Helix.
V. The Customer agrees that the Invoice for the Product must be paid 100% upfront before any
work by the Freelancer can begin. Exceptions for this Condition are listed in subsequent
sections.
A. Under certain circumstances, 50% upfront and 50% when completed may be allowed, but the Customer agrees that the Customer may be invoiced twice and charged fees for each transaction.
VI. The Customer agrees to not resell and distribute the Products created by Team Helix. Exceptions for this Condition are currently not possible.
VII. The Customer agrees that Team Helix has the right to store backups of all Products created
by Team Helix.
VIII. The Customer agrees that Team Helix reserves the right to deny or terminate service if the Customer is in breach of the Terms and Conditions or any laws set forth in the jurisdiction of Team Helix’ origin or the Customer’s origin and upon cancellation or termination the Customer is not eligible for any refunds and upon this Condition, Condition II.F is void.
IX. The Customer agrees that Team Helix reserves the right to showcase any and all Products on social media, including, but not limited to, Facebook, Twitter, Instagram and Discord. Exceptions can apply in some circumstances and are listed in subsequent sections.
A. Upon request by the Customer, this Condition may be void. The Customer should seek written permission to void this Condition by Team Helix Management.
X. The Customer agrees that if the Customer does not respond to the Product Ticket in one week or more without prior notice in written form in the Product Ticket, Team Helix reserves the right to terminate the service without refund to the Customer and upon this Condition, Condition II.F is void.
XI. The Customer agrees that, in certain circumstances – listed below in subsequent sections, –
Team Helix may seek extra charges for the Product (“Extra Charge”). If the Customer does
not wish to pay the Extra Charge, the Customer may be denied the requested change,
addition, retraction or otherwise update to the Product.
A. Drastic change in mind of the client in regards to the Product.
B. Drastic change required/requested when the Product is a minimum of 20% completed.
C. Extras, additions, add-ons etc. to the Product that were not originally requested before the Freelancer conducted work on the Product.
D. Client wishes for a deadline, whether strict or loose.
XII. The Customer agrees that upon Product completion, Team Helix is not liable to fix issues,
bugs or problems occurring in or on the Product if these issues, bugs or problems in question
are not caused directly by Team Helix.
XIII. The Customer agrees that upon Product completion, the Customer is entitled to 30 days of free Support (“Support Days”) for the Product. Support Days have a strict use-case, listed in below in subsequent sections. You further agree that upon expiry of the Product Support Days, Helix is in no way liable for issues, problems or bugs occurring in or on the Product.
A. Support Days may be enacted in the following conditions:
- Issues, problems or bugs have arisen directly due to Team Helix.
- Inconsistency between texts and messages on the Product.
- Any other reason subject to the discretion of Team Helix.
B. The Customer is knowledgeable of the fact the Customer may be able to purchase extra Support Days for the Product in question. Upon purchase of extra Support Days, the Customer may be entitled to more conditions and service.
XIV. The Customer agrees that the T&Cs may change at any time and the Customer agrees that upon change, the Customer does not need to be notified regarding the changes. The Customer is expected to read and review the T&Cs consistently.
